These Terms of Use (“Terms”) govern access to and use of MSM Iris, the engagement management portal of MSM Chris & Associates (“MSM Chris”, “we”, “us” or “our”), located at portal.msmchris.co.ke (“the Portal”).
By accessing the Portal using an account provisioned for you by MSM Chris, you agree to be bound by these Terms. If you do not agree, please do not access the Portal.
1. What MSM Iris Is
MSM Iris is a secure portal through which MSM Chris manages active client engagements — including document exchange, engagement correspondence, status updates, and related administrative functions. Access to the Portal is provided to clients, their authorised representatives, and MSM Chris personnel in connection with a specific engagement.
Access to the Portal does not itself constitute an engagement of professional services. The scope, fees and terms of any professional service remain governed by the relevant signed engagement letter.
2. Account Creation and Eligibility
Accounts on the Portal are not self-registered. Access is granted exclusively by MSM Chris, following our internal client acceptance procedures and approval of an active or prospective engagement. There is no public sign-up process, and access cannot be requested or obtained independently of this process.
Once an account has been created on your behalf, you must provide accurate and complete information where requested, and keep that information up to date. You may not share your account, or permit another person to access the Portal using your credentials without our authorisation. If you are accessing the Portal on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.
3. Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:
- Use a strong, unique password for your Portal account;
- Not share your login credentials with any other person;
- Notify us immediately at info@msmchris.co.ke if you suspect unauthorised access to your account; and
- Log out of the Portal when using a shared or public device.
MSM Chris is not liable for any loss or damage arising from your failure to safeguard your account credentials.
4. Documents and Information Exchanged Through the Portal
The Portal is used to exchange documents and information in connection with your engagement, which may include financial records, personal information, and other confidential or commercially sensitive material.
You agree to:
- Only upload documents and information that are accurate, and that you are authorised to share;
- Not upload any unlawful, fraudulent or malicious content;
- Not use the Portal to upload or transmit viruses, malware or other harmful code; and
- Ensure that any personal information of third parties you upload (such as employee records) has been shared with us lawfully and with appropriate authority.
Documents and information you submit through the Portal are handled in accordance with our Privacy Policy and the confidentiality terms of your engagement letter.
5. Confidentiality
Information exchanged through the Portal in connection with an engagement is treated as confidential by MSM Chris, consistent with our professional obligations and the terms of the applicable engagement letter.
Where the Portal is used by multiple authorised users on your side (for example, several individuals within your organisation), you are responsible for ensuring that access is limited to individuals who are authorised to view the relevant engagement information.
6. Acceptable Use
You agree not to:
- Use the Portal for any purpose unrelated to your engagement with MSM Chris;
- Attempt to access another user’s account or data;
- Attempt to gain unauthorised access to the Portal, its underlying systems, or any connected network, in violation of the Computer Misuse and Cybercrimes Act, 2018;
- Interfere with or disrupt the operation of the Portal; or
- Use automated tools to scrape, extract or copy data from the Portal.
We reserve the right to suspend or terminate access for any user who violates these Terms.
7. Hosting and Availability
The Portal is hosted on MSM Chris-controlled private servers. We aim to keep the Portal available and functioning correctly, but do not guarantee uninterrupted or error-free access. The Portal may be unavailable from time to time for maintenance, updates, or reasons outside our control. Where planned maintenance may affect an active engagement deadline, we will endeavour to notify affected clients in advance.
8. Data Retention on the Portal
Documents and information uploaded to or shared through the Portal in connection with an engagement are retained on the Portal for a maximum of six (6) months from the date of upload. At the end of this period, the relevant data is permanently deleted from the Portal and cannot be recovered.
This six-month retention limit applies to data held on the Portal specifically, and is separate from our broader professional record-retention obligations described in our Privacy Policy, which may require us to retain copies of engagement records elsewhere, in accordance with applicable legislation and professional requirements.
You are responsible for retaining your own copies of any documents of ongoing importance to you before the six-month period lapses. Where access to the Portal ends earlier than six months — for example, because an engagement has concluded and access has been revoked — we recommend downloading any documents you wish to retain before access is removed.
9. Limitation of Liability
The Portal is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable Kenyan law, MSM Chris shall not be liable for any indirect, incidental or consequential loss arising from your use of, or inability to access, the Portal, except where such liability cannot be excluded or limited under law. This limitation does not affect our professional responsibilities under the applicable engagement letter.
10. Termination of Access
We may suspend or terminate your access to the Portal at any time, including where an engagement has concluded, where these Terms have been violated, or where required for security reasons. You may also request termination of your account by contacting us.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Kenya. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
12. Changes to These Terms
We may update these Terms from time to time. Any updated version will be published with a revised “Last updated” date. Continued use of the Portal following a change constitutes acceptance of the updated Terms.
